Todd Feinstein’s career in securities and capital markets began in the early ‘90s, and he has been involved in every facet of the securities industry over the ensuing 25 years.  Todd has worked as broker, market maker, compliance officer, options principal, broker principal, and head trader for a panoply of boutique and regional broker/dealers, though he credits his earlier career as a sailor and seaman for the resourcefulness and confidence required to deal with rapidly evolving corporate issues for the most demanding clients.

Todd founded Feinstein Law in 2012 to focus on assisting companies, their officers, and their attorneys with securities compliance and legal issues, resolving to stand by each client through every step of the complicated processes they face.  Todd oversees securities offerings and the going public and staying public process, including drafting and reviewing offering materials, registration statements, periodic reports and disclosures as well as schedules and other filings with the SEC and FINRA. His experience includes all corners of transfer agent operations, including submissions to the SEC, state regulators, and the Depository Trust Company.

With a home in the dense forests of the Pacific Northwest, Todd is an active parent, committed to his local community. He serves on numerous local community boards focused on the welfare of children, the elderly, local business, and the environment. Todd takes local, community-positive matters on a reduced fee basis and delivers community education seminars to local business owners.

Todd has traveled the world’s oceans extensively in his previous career as a licensed commercial fishing boat captain and oceanic navigator under sail.

Mark White is a seasoned securities and commercial litigator. He is a barrister and attorney. Mark is a committed problem solver from inception to conclusion between private practice in Ireland and in the United States.

Admitted in multiple federal courts including; the Southern District of New York, Northern District of Texas and District of Colorado.

Notable results:

  • Achieved advantageous settlement terms for a publicly traded plaintiff entity in securities lawsuit against former chief executive officer.
  • Achieved a successful dismissal of all claims against a former chief financial officer of a public traded REOC entity alleging breach of fiduciary duties and securities violations.
  • Successfully defended FINRA registered broker-dealers during investigations initiated by FINRA.
  • Successfully overturned FINRA’s refusal to approve a change of name and trading symbol on behalf of a publicly traded entity in a lawsuit before the Securities and Exchange Commission.
  • Assisted the Securities and Exchange Commission in their investigation of a public entity’s chief executive officer selling unregistered securities to perpetrate a Ponzi scheme.
  • Successfully avoided exposing client to a judgement of $200,000,000 million by forcing the plaintiff to settle for small monetary sum and sale of class c shares following service of discovery demands during the lawsuit.
  • Forced plaintiff to offer settlement of $600,000 in $7.1 million lawsuit after discovering penalty clause was unlawfully incorporated into a personal guaranty.
  • Avoided exposure of client to personal liability in commercial real estate lawsuit by having all claims dismissed.
  • Achieved a successful dismissal of all claims against 2 individual clients resulting in them avoiding judgment of $1.1 million.
  • Accomplished the equity pay-out goals of client in pre-lawsuit negotiations after discovering an advancement of fees clause in a Limited Liability Operating Agreement.
  • Uncovered advancement of fees clause in by-laws during corporate divorce forcing plaintiff entity to settle all claims for thousands of dollars avoiding them being exposed to judgment of multiple millions of dollars.
  • Negotiated settlement agreement resulting in no payment of compensatory damages.
  • Negotiated settlement agreement in commercial contract dispute resulting in defendant paying $76,000 instead of $330,000 in damages.
  • Recouped over 50% of damages sustained by foreign company in 2 commercial lawsuits.
